VOID Board of Directors - Meeting Minutes
Monday, January 9, 2006 8:30PM - 9:30PM

ATTENDEES:
David R. Remer, President
Daniel Summars, Treasurer
Stephanie Crist, Secretary

PURPOSE: Discuss changes to Local Chapter memberships, accounting and funding procedures, address nature of contract development for Local Chapters, address the need for VOID accounting and cash control measures and the need for Daniel Summars, VOID Treasurer to report concerning the accounting of VOID funds in future meetings, as well as plan an initial budget for VOID.

MEETING SUMMARY:
1. Minutes of previous meeting were unanimously approved by e-mail prior to this meeting.

2. Board discussed the expected needs for the VOID budget. Membership cards for VOID members were added to the list of benefits of being a member of VOID. While the cost of Membership cards and mailing is considered minimal, an estimated amount has not yet been established. The Board voted unanimously to provide Membership cards to its members and funds necessary to create and send same should be allocated. Board discussed Liability insurance for the protection of VOID Directors and Officers and demeaned the expense necessary. The estimated cost is $1,000.00 per year. The Board voted unanimously to make funds available for a liability insurance policy for VOID Directors and Officers as soon as practicable. Due to local chapters increasing demands upon the server resources of the hosting space currently leased by David Remer, and the potential costs of exceeding those resources, it was discussed and proposed that VOID pay to move VOIDnow.org's web site presence to its own Web Hosting services after two local chapters have been added to the organization. David Remer reported that the costs of such a move would equal the Total Choice Hosting's $8.95 per month hosting fee and a one time $35 setup fee for SSL security accompanied by an annual $115 fee, which equals $9.54 per month, for a total estimated cost of $18.49 per month plus the one time charge of $35. Board voted unanimously in favor of this proposal. Board determined that a PO Box should be obtained for securing VOID mail and such address should be posted on VOID materials and web sites. The estimated cost has not yet been determined. Board voted unanimously in favor of obtaining a PO Box for VOID use.

3. Board voted unanimously that Daniel Summars, as Treasurer, shall provide a treasurer's report in the next and future meetings. The report will be recorded in the Board Minutes.

4. David Remer proposed that VOID should establish its own bank account that would be linked to its own PayPal account for the purpose of accepting membership dues, donations, and contributions, and disbursing payments for expenses accrued by VOID organizational activities. The person handling cash flow and with access to VOID funds should not be the same person who receives the statements and records of such transactions. Two signatories will also be required for the payment of expenditures, both the Treasurer and the President, or Administrator if different. This will provide the separation of accountability that is needed for good business practice. It is proposed that the Treasurer be the keeper of records for purposes of accounting and bookkeeping and treasurer reports while the President, or Administrator if different, handle the cash transactions. It is proposed that instructions appearing anywhere on VOID materials, web sites, or any other places of communication direct payment of donations, dues, and contributions to a centralized account such as a PayPal account or bank account in VOID's name. Such arrangements will be made as soon as practicable. These proposals were adopted unanimously by the Board.

5. Board discussed a proposal and stipulated the following: The memberships of Local VOID Chapters would in fact be memberships in VOIDnow.org with affiliation to the Local Chapter. Therefore, local chapter membership dues would be payable to VOIDnow.org. Memberships signed up through the local Chapter web site, would result in the member's information form with contact information being sent both to the Administrator of the Local Chapter as well as VOIDnow.org to insure the integrity of both organizations. The PayPal donation link on the local Chapter's web site however, would direct membership donations to the VOIDnow.org deposit account. The Local Chapter Administrator or treasurer would then be remitted the percentage of the donation the Board agrees upon back to the local chapter to fund their local grassroots activities. This proposal requires that local chapters utilize web site services provided by VOIDnow.org and web page templates on such sites, which only VOIDnow.org can access. Hence the membership signup and donation screens, and, or links, would require the security to insure they cannot be tampered with by local Chapter web site administrators or other personnel. This proposal provides accountability and control over membership revenues solicited by the local chapter insuring such control remains at the VOIDnow.org level, and transparency and accountability for donations and allocations of such revenues by both VOIDnow.org and local chapters. This also requires the expanding of VOID web space capabilities, requiring the costs determined in the proposed budget for acquiring Web Hosting services exclusive to VOID and its local Chapters. The setup fee and percentage of Local Chapter recruited membership donations to be retained by VOIDnow.org were not established, but will be taken up as soon as possible in a future Board meeting. Under discussion is a $100 setup fee which includes the $50 membership contribution by the local chapter administrator, to setup the local chapter's web site, and a VOIDnow.org retaining 10 or 15% of membership contributions for funding VOIDnow.org activities and growth, with the balance reverting back to the local chapter to fund their local VOID advocacy activities to include registering voters and advocating an anti-incumbent voting choice in the Nov. 2006 elections. Any contributions not received electronically would be mailed to the VOID PO Box and manually entered into this process. The Board voted unanimously in favor of this proposal.

6. Board discussed David Remer's proposal to establish a committee of VOID staff to develop the items to be included in a legal contract to be entered into by VOIDnow.org and the Administrators of local VOID chapters. Upon completion of the Committee's work, their product would be presented to an attorney for drafting into a legally binding contract. Board agreed unanimously to this proposal. Stephanie Crist informed the Board of her personal access to pre-paid legal services that includes document review that could forestall any cost being accrued by VOID to review the legality of the contract the Committee devises. Board agreed unanimously to use these same services to ensure the legality of the contract drafted by the Committee.

7. Stephanie Crist requested permission of the Board to investigate the possibility of creating a VOID product line through Cafe Press. Board agreed unanimously in favor of this request.

8. Board agreed to reconvene for the next regularly scheduled meeting on Monday, February 6, 2006 at 8PM.

9. Board adjourned this meeting at 9:30PM after addressing all matters on the agenda.
